New Restricted Stock Award Shall fully vest upon the earlier of (i) the second anniversary of the date of grant (ii) approval of Discovery Labs New Drug Application for Surfaxin (R) for the prevention of RDS or (iii) the effective date of a strategic alliance, collaboration agreement or other similar arrangement between Discovery Labs and one of more third parties providing for the support for the development and/or commercialization of one or more of Discovery Lab's lead research and development programs - Surfaxin (R), Surfaxin (TM), and Aerosurf (R).
