Explanatory Note
This Amendment No. 3 to Schedule 13D (this Amendment No. 3) amends and supplements the Statement on Schedule 13D filed with the United States Securities and Exchange Commission on December 31, 2018 (as amended to date, the Schedule 13D), relating to the common stock, par value $0.001 per share (the Common Stock), of Windtree Therapeutics, Inc. (the Issuer). Capitalized terms used herein without definition shall have the meaning set forth in the Schedule 13D.

Item 4 of the Schedule 13D is hereby amended and supplemented as follows:
On April 18, 2023, James Huang notified the Board of Directors of the Issuer (the Board) of his decision to resign as a member of the Board, effective immediately.
A copy of Mr. Huangs resignation letter is included as an exhibit to this Amendment No. 3 and is incorporated by reference herein.

Subject: My Resignation from the Windtree board
Ladies and Gentlemen,
Effective immediately, I hereby resign as a member of the Board of Directors (the Board) of Windtree Therapeutics, Inc. (Windtree or the Company) so that I may more fully focus on my other business pursuits. It has been a pleasure serving on the Companys board and I believe that we have made meaningful strides in developing high-quality assets focused on significant unmet medical needs in important acute cardiovascular and pulmonary settings. Unfortunately, it is also my view that the market price of Windtrees securities has heretofore not reflected their true value had alternative strategies other than a substantial transfer of ownership interest away from existing shareholders been operationalized. To that end, I can no longer in good conscience continue to support the Company either as a member of the Board or as one of its shareholders.
